How will you make an impact?
The Senior Legal Entities Manager, EMEA will be a key member of the legal entities management team. This role provides corporate governance oversight for our large portfolio of EMEA subsidiaries.
The role will report to the Senior Director, Corporate and Securities Counsel and will work with and manage other members of the legal entities team. The candidate will also partner collaboratively with other functions, including corporate tax, local tax and local finance. The role can be remote or hybrid, based in either North Carolina or Pittsburgh, Pennsylvania.
What will you do?
Lead a team of professionals that handle Company Secretarial administrative matters for our EMEA portfolio of entities
Assist in production of annual meeting, board and shareholder communications for a specified portfolio of legal entities within EMEA
Prepare, co-ordinate and supervise local regulatory filing submissions, including approvals
Maintain corporate panel directorship appointments, including preparation of associated documentation and reports
Work directly with internal staff and external advisors to support subsidiary formations, capital changes, dividend payments, reorganizations, and dissolutions
Coordinate with business units, legal advisors, auditors, treasury, tax, service providers across multiple jurisdictions on matters of corporate governance and other complementary issues in the EMEA region
Provide assistance with ad-hoc project work
We are looking for:
Education/Experience
Associate’s, Bachelor’s, or Master’s Degree in Paralegal Studies from a qualified paralegal studies program or bachelor's degree
6+ years experience as paralegal or legal entities manager
Understanding of corporate governance requirements in EMEA jurisdictions
Knowledge of tax, legal and accounting compliance functions
Notary preferred
